Case Background

On December 18, 2017, Expro submitted a “prepackaged” plan of reorganization under Chapter 11 of the U.S. Bankruptcy Code. The Company has established this website to provide information regarding the filing, including information about the processing of claims.

As previously disclosed, Expro has reached an agreement with its key lenders and shareholders to eliminate its entire $1.4 billion of funded debt and $80 million in annual interest payments through an equity conversion, which will fully deleverage Expro’s balance sheet. This important milestone will provide Expro with a stronger and more sustainable capital structure to grow its business, and will be supported by an additional $200 million equity commitment from its new shareholders.

The Court process does not affect in any way the Company's ability to pay suppliers in the normal manner for all goods and services received after the date of the filing, December 18, 2017. In addition, Expro fully expects to be able to pay all suppliers in the ordinary course of business, regardless of when the goods and services were received.

Expro is very pleased to report that the Company has proposed to pay all prepetition amounts in full under its plan. Suppliers should expect to be paid 100% of their claim.

It is important to note that while Expro has filed voluntary petitions with the U.S. Court, this will not result in different treatment between U.S. and non-U.S. customers. Expro will continue to honor existing customer contracts and warranties, and will complete deliveries in full and on schedule. This financial restructuring will not interrupt or change any of the Companys customer commitments.

Plan and Disclosure Statement

On December 18, 2017, the Debtors filed their Chapter 11 Plan of Reorganization and the Disclosure Statement related thereto. On January 25, 2018, the Bankruptcy Court entered an order approving Plan of Reorganization and the Disclosure Statement related thereto. On February 5, 2018, the Effective Date of the Plan occurred, and the Plan was consummated.
