On August 6, 2019, Jack Cooper Ventures, Inc. and certain of its subsidiaries and affiliates (collectively, the “Company” or “Jack Cooper”) filed voluntary petitions under Chapter 11 of the U.S. Bankruptcy Code in the United States Bankruptcy Court for the Northern District of Georgia (the “Court”). The cases are pending before the Honorable Paul W. Bonapfel, and the cases are jointly administered under Case No. 19-62393.
The Company filed the proceedings to implement a comprehensive restructuring to help ensure financial viability and future success. The restructuring would reduce Jack Cooper’s debt by more than $300 million and preserve jobs for nearly 2,000 union workers.
The Company’s largest lenders have agreed to cancel their debt as part of a transaction to purchase all or substantially all of the Company’s assets. The purchase will be subject to a court-approved competitive bidding process. The transaction will result in a significantly deleveraged company with new shareholders, who have committed to invest new capital in the restructured Company that will enable it to execute on its business plan.
During the restructuring process, Jack Cooper expects to continue operating its business as usual – with uninterrupted customer service – and will work closely with its stakeholders to help ensure that ongoing obligations are met and services are uninterrupted.
